Job Description

I'm working with one of New York’s most respected mid-sized law firms — a firm with deep roots in the city, a robust corporate practice, and a reputation for handling sophisticated matters across the securities and transactional landscape. This isn’t a revolving-door role or a high-volume paper-pushing seat — it’s a strategic hire for a Senior Attorney ready to step into a trusted advisor role with direct client access and the support of a deeply experienced team.

If you have a strong background in securities regulation, M&A, IPOs, startup advisory, and complex financings , this firm will give you the platform and resources to do your best work — with the flexibility and cultural stability many firms simply can't offer.

What You’ll Handle:

  • Advising public and private companies on securities law compliance (including 1933/1934 Act, Reg D, Rule 144, and more).
  • Preparing and reviewing SEC, FINRA, and NASDAQ filings — including Form S-1, 10-K, 10-Q, proxy statements, and registration statements.
  • Leading M&A , private placements, IPOs, and venture capital transactions.
  • Serving as outside counsel to early-stage and emerging growth companies , guiding them through every stage of development — formation, funding, scaling, exit.
  • Overseeing lending and structured finance transactions , from term sheets through closing.
  • Working directly with managing partners and clients — no layers between you and the action.
  • Mentoring associates and collaborating cross-functionally with other practice groups.

What You Bring:

  • A minimum of 7 years of experience in a law firm or in-house legal department focused on corporate and securities matters.
  • Hands-on familiarity with SEC, FINRA, and NASDAQ compliance and the ability to manage filings with confidence.
  • Track record of running deals and providing strategic guidance on M&A, venture financings, IPOs, and other complex transactions .
  • JD from a respected law school and admission to the New York Bar (or ability to waive in).
  • Strong interpersonal skills, business acumen, and the ability to speak fluently with C-suite executives and entrepreneurs alike.
  • A practical, solution-oriented mindset. You don’t just issue memos — you help clients get to “yes.”
