Job Description

SUMMARY

The Director of Contracts & Program Finance is responsible for overseeing all aspects of contract administration within the company, including managing the lifecycle of federal government contracts from pre-award to post award. This role ensures compliance with federal regulations, company policies, and client requirements while driving successful contract negotiations, renewals, and amendments. The Director of Contracts & Program Finance will collaborate with senior leadership, program management, and finance teams to support strategic initiatives and ensure that all contracts align with the company’s objectives and deliverables. The ideal candidate will also oversee pricing strategies, financial forecasting, and cost impact analyses to support new business opportunities and growth on existing contracts.

DUTIES AND RESPONSIBILITIES

  • Contract Lifecycle Management: Oversee and manage the entire contract lifecycle, including negotiation, drafting, review, execution, administration, and closeout for federal government contracts and subcontracts.
  • Compliance and Risk Management: Ensure compliance with federal regulations (FAR, DFARS, GSA, etc.), contract requirements, and company policies. Identify and mitigate potential risks associated with contracts and subcontracts.
  • Strategic Contract Negotiations: Lead negotiations for government contracts and subcontracts, including terms and conditions, pricing, deliverables, and performance metrics to meet client requirements and maximize profitability.
  • Record Keeping and Documentation: Ensure all contracts, amendments, modifications, and associated documentation are accurately recorded, stored, and accessible for future reference and compliance audits.
  • GWAC Experience: Manage and administer contracts under Government-Wide Acquisition Contracts (GWACs), particularly GSA schedules such as the MAS and OASIS or OASIS+. Ensure compliance with associated reporting and contract deliverables.
  • Subcontract Management: Oversee the management of subcontracts, ensuring that subcontractor agreements comply with prime contract terms and government regulations, including maintaining and reporting on subcontracting plans and compliance through the Electronic Subcontracting Reporting System (ESRS).
  • System for Award Management (SAM) & Reporting: Manage company entity registration in the System for Award Management (SAM) and ensure that the company’s annual Service Contract Reporting (SCR) is completed accurately and timely.
  • Pricing and Pricing Strategy: Lead pricing and pricing strategy development for new opportunities and growth on existing contracts. Ensure pricing models align with client expectations and company profitability goals while ensuring compliance with applicable acquisition regulations.
  • Financial Forecasting: Use forecasting tools to manage revenue projections, direct costs, and gross margin for contracts and opportunities. Maintain oversight of the financial aspects of contracts to ensure alignment with budgeted projections.
  • Cost Impact Analysis: Conduct detailed cost impact analyses to assess the financial effect of contract modifications, pricing adjustments, or other business decisions.
  • Cross-Departmental Collaboration: Work closely with finance, legal, program management, and senior leadership to ensure contract terms align with business goals, financial projections, and operational capabilities.
  • Teaming Agreements & NDAs: Negotiate Non-Disclosure Agreements (NDAs) and Teaming Agreements with prospective business partners, ensuring mutually beneficial terms that protect the company’s interests while enabling collaboration on federal contracting opportunities.
  • Contract Modifications and Amendments: Administer contract modifications, including pricing adjustments, scope changes, and extensions, in coordination with the project management team.
  • Contract Closeouts: Manage contract closeouts and ensure all contractual obligations have been met, including final invoicing, performance reviews, and compliance audits.
  • Training and Mentorship: Provide guidance and mentorship to junior contract staff and program managers on contract management best practices and federal procurement regulations.
  • Contract Dispute Resolution: Address and resolve any contract-related disputes or claims, working in partnership with legal counsel and relevant stakeholders
  • M&A Due Diligence: Support mergers and acquisitions (M&A) due diligence efforts, including the review and analysis of corporate acquisition targets, assessing contract liabilities, compliance risks, and integration potential.

QUALIFICATIONS AND REQUIREMENTS

  • Education: Bachelor’s degree in Business Administration, Law, or a related field (Master’s degree preferred).
  • Experience: Minimum of 5 years of experience in contract management and program finance within the federal government contracting environment, including experience managing the full contract lifecycle (pre-award through post-award).
  • Certifications: Professional certifications such as Certified Federal Contracts Manager (CFCM), Project Management Professional (PMP), or equivalent are preferred.
  • Strong understanding of federal procurement regulations (FAR, DFARS, GSA, etc.).
  • Experience with contract negotiations, compliance, risk management, and dispute resolution.
  • Familiarity with subcontracting plans and reporting requirements, including ESRS.
  • Proficiency in managing entities in SAM and completing annual Service Contract Reporting (SCR). ▪ Experience with GWACs (e.g., GSA MAS, OASIS, OASIS+, SeaPort NxG, CIO-SP3, etc.) and related contract reporting.
  • Experience in M&A due diligence and contract risk analysis for acquisition targets.

SKILLS

  • Pricing and financial strategy development experience
  • Experience with financial forecasting, including using waterfall tools to forecast revenue, direct costs, and gross profit/margin.
  • Proficient in conducting cost impact analyses to assess financial effects of contract changes.
  • Experience negotiating NDAs and Teaming Agreements with prospective business partners.
  • Excellent communication and negotiation skills as well as strong attention to detail and organizational skills.
  • Ability to manage multiple priorities and work under pressure.
  • Proficient in Microsoft Office Suite (SharePoint, Word, Excel, PowerPoint)
  • Experience with Contract Lifecycle Management (CLM) software is desired
  • Experience with project setup in financial systems such as Deltek CostPoint or Unanet.
