Associate – M&A – New York

About the Firm:

We are representing a prestigious mid-sized regional law firm headquartered in New York. The firm is well-regarded for its dynamic transactional practice and commitment to mentoring associates. Associates gain hands-on experience across public and private M&A, joint ventures, capital markets engagements, and other high-profile corporate matters.

About the Role:

This is a hybrid role (three days per week in the Manhattan office). The firm is looking for a midlevel Associate with 3–7 years of M&A corporate and securities experience to support Partners in public and private company transactions, manage due diligence, and draft transaction documents with minimal supervision.

What You’ll Do:

  • Focus primarily on public and private M&A transactions, including drafting agreements and conducting due diligence
  • Coordinate signing, closing, and all related transaction processes
  • Liaise with specialty counsel, co-counsel, and clients to ensure smooth transaction execution
  • Draft a broad range of transactional documents, including merger, stock purchase, joint venture, and investment agreements
  • Support on capital markets engagements and other transactional matters as required
  • Supervise and mentor junior associates on transaction tasks and due diligence processes
  • Assist with other ad hoc projects and assignments as needed

What We’re Looking For:

  • JD from an accredited law school and active New York Bar admission
  • 3–7 years of corporate and securities transactional experience at a law firm
  • Experience with public and private company M&A; capital markets exposure is a plus
  • Strong drafting skills and transactional process management expertise
  • Ability to manage multiple deals and work effectively under tight deadlines
  • Excellent written and verbal communication skills
  • Proven ability to work collaboratively with attorneys and clients in a team-oriented environment
